Job Description Summary

The Senior Counsel, Corporate Development at GE Aerospace is a key team member in the development, execution and integration of corporate strategy projects and different strategic transactions, including public and private mergers and acquisitions, equity investments (funds and VC / PE-type investments), joint ventures, and divestitures.

Roles and Responsibilities

In this role you will:

  • Support General Counsel, Corporate Development and Corporate Development team in planning, execution and integration of all projects, including pre-deal transaction planning, deal preparation and execution and post-closing / integration matters

  • Execute day-to-day components of M&A transactions, e.g., NDAs, IOIs, due diligence, transaction documents, pre-closing and post-closing matters, including integration planning and execution for legal matters

  • Lead and collaborate with cross-functional deal teams and outside counsel and other external advisors

  • Coach and provide direction to the Corporate Development team with respect to legal matters

  • Liaise and negotiate with potential buyers/sellers/investment companies and partners on all aspects of transactions

Required Qualifications

  • JD from an accredited university

  • Minimum 5 years of experience in wide range of M&A-type transactions, both public and private, including investments and funds, and all aspects of such deals (e.g., NDAs, IOIs, purchase agreements, investment and fund agreements, TSAs)

  • Demonstrated ability to lead and execute transactions, including first or second chair on such transactions, including negotiation experience and working with cross-functional groups (e.g., IP, L&E, HR, compliance, tax)

  • Working knowledge of public company reporting as relates to M&A-type transactions

  • Proficient use of Microsoft Office (e.g., Excel, Word, PowerPoint)

  • Ability and willingness to travel 25% of the time as needed (domestically and potentially internationally)

  • Fluency in English

Desired Characteristics

  • Strong ability to analyze risk / reward frameworks, formulate “best path” forward and implement mitigation, including summarizing the same for senior leadership

  • Clearly articulates viewpoint verbally and in writing; strong executive presence and confidence when presenting information

  • Strong project management skills, with ability to balance workload and prioritize effectively

  • Works effectively in cross functional and matrixed team environment

  • Exposure to public company reporting / corporate process requirements, including general corporate governance experience

  • Knowledge of the aerospace and defense industries, including compliance risks and government contracting experience

  • Knowledge of commercial contracting, especially additional agreements common in M&A-type deals (e.g., IP licenses)

  • History of managing outside counsel or the outside counsel budget process
